Q Up Arts Soundware License Agreement

This Q Up Arts Soundware License Agreement governs the purchase, download and use of sounds, samples, loops, recordings, presets, musical phrases, sound design elements, software instruments, documentation, artwork, metadata and related intellectual property provided by Q Up Arts through www.quparts.com or any authorized Q Up Arts sales channel.

By purchasing, downloading, installing or using any Q Up Arts product, you agree to the terms below.

1. License Grant

Q Up Arts grants you a limited, non-exclusive, non-transferable license to use the Q Up Arts sounds and related intellectual property in your own original music productions, including music for:

personal music projects
commercially released music
streaming platforms
broadcast television
film scoring
game scoring
multimedia productions
live performance
client music production work

You may combine Q Up Arts sounds with other music, sound design, vocals, instruments or production elements to create original musical works.

2. Ownership

All Q Up Arts sounds, recordings, samples, loops, source material, programming, artwork, product names, documentation and related intellectual property remain the property of Q Up Arts and/or its licensors.

Your purchase gives you a license to use the sounds in permitted productions. It does not transfer ownership of the sounds, recordings, samples or underlying intellectual property.

3. No Sample Library Use

You may not use Q Up Arts sounds or intellectual property to create, develop, sell, license, distribute or contribute to any sample library, virtual instrument, soundware product, loop collection, sound effects library, preset collection or similar product for hardware or software based instruments.

This restriction applies whether the resulting product is commercial, free, private, public, modified, layered, processed or combined with other sounds.

4. No Production Music Library Use

You may not use isolated Q Up Arts sounds or intellectual property to create, submit, upload, license or include music in any production music library, stock music library, sync catalog, trailer music library or similar music licensing catalog without prior written permission from Q Up Arts. You may use Q Up Arts virtual instruments as part of musical compositions for these purposes as long our sounds are not offered isolated.

This includes music intended for broad third-party licensing through a catalog, library, marketplace or subscription service.

5. No AI Training, Data Scraping or Machine Learning Use

You may not use Q Up Arts sounds or intellectual property for data scraping, dataset creation, AI training, machine learning, model development, music generation systems, sound generation systems or any artificial intelligence application.

You may not upload, ingest, process, analyze or otherwise provide Q Up Arts sounds to any AI music app, AI audio tool, machine learning system, dataset provider or similar technology platform for the purpose of training, improving, testing or developing AI or machine learning models.

6. No Sharing, Uploading or Redistribution

You may not copy, share, sell, rent, lease, sublicense, upload, post, distribute or otherwise make Q Up Arts sounds or intellectual property available to any other person or entity.

You may not place Q Up Arts sounds on any file-sharing site, download site, shareware site, cloud folder, internet archive, social platform, sample exchange, torrent site, forum, marketplace or other public or private distribution system.

You may not allow other users to access, extract, copy or download the Q Up Arts sounds except as part of your own finished musical production where the sounds are not available as isolated samples or source material.

7. Use in Finished Productions

You may release finished musical productions that include Q Up Arts sounds, provided the sounds are incorporated into a larger original work and are not presented, distributed or made available as isolated samples, loops, stems, sound effects or source audio files.

For example, you may release a song, score, soundtrack or finished cue containing Q Up Arts sounds. You may not release a collection of isolated Q Up Arts-derived loops, hits, phrases, stems or sound elements.

8. Transfer and Resale

This license is personal to the purchaser. You may not transfer, resell, assign or sublicense your rights under this Agreement without prior written permission from Q Up Arts.

9. Breach of Agreement

Any unauthorized copying, sharing, redistribution, sample library use, production music library use or AI-related use of Q Up Arts sounds is a material breach of this Agreement and may result in termination of your license.

Q Up Arts reserves all rights and remedies available under copyright, contract and other applicable laws.

10. No Other Rights Granted

All rights not expressly granted in this Agreement are reserved by Q Up Arts. Nothing in this Agreement allows you to claim ownership of Q Up Arts sounds or intellectual property, register Q Up Arts sounds as your own, or use Q Up Arts sounds in a way that competes with Q Up Arts products.

11. Agreement at Checkout

By completing your purchase, you confirm that:

You plan to use Q Up Arts sounds and intellectual property only in permitted music production uses, including streaming, broadcast, television, film or game scoring.
You will not use Q Up Arts sounds or intellectual property for sample library production.
You will not use isolated Q Up Arts sounds or intellectual property for production music library creation or inclusion.
You will not use Q Up Arts sounds or intellectual property for data scraping, AI music apps, AI training or machine learning.
You will not share, upload, distribute or make Q Up Arts sounds or intellectual property available to other users, download sites, shareware sites, internet archives, file-sharing sites or similar platforms.
